DigitalPlat Foundation, Inc. is governed in service of its charitable mission: advancing Internet Freedom, digital rights, open knowledge, and public-interest technology. Governance protects that mission, stewards charitable resources, and keeps organizational decisions accountable to the public interest.

Legal name: Yujie Xing

Edward founded DigitalPlat and leads the Foundation's mission, organizational development, and public-interest technology work. His experience spans internet infrastructure, open-source systems, digital rights, and long-term community stewardship.

DigitalPlat Foundation is currently governed by a single director, with its founder serving as director and president. Until additional independent directors are appointed, a related-party matter requiring disinterested authorization will not be approved unless appropriate independent review and other legally sufficient disinterested authorization can be obtained.

Protect the Foundation's exempt purposes and set priorities for public-benefit work.

Financial stewardship

Oversee charitable assets, budgets, required filings, and responsible use of donor support.

Programs and impact

Review whether programs advance the mission and serve public rather than private interests.

Risk and accountability

Maintain appropriate records, review conflicts, and oversee legal and ethical responsibilities.

Decision records

Material governance decisions should be documented through minutes or written consents and retained with the Foundation's corporate records. Records should identify the decision, information considered, participants, conflicts disclosed, recusals, and the basis for approval.

Conflict of Interest Policy

The Foundation's published policy requires disclosure, recusal, consideration of reasonably available alternatives, fair-market review, and written records. It applies expressly to proposed arrangements involving EdgeAlphix LLC and other related parties.

Looking ahead

Governance evolution

DigitalPlat Foundation is an early-stage public charity. Its governance framework is designed to develop alongside the Foundation's programs, funding, and public responsibilities. The Foundation expects to review board composition and adopt additional independent oversight as its activities grow.
